How to file your CIPC annual return

Every company and close corporation must file an annual return with CIPC every year, even if it is dormant. Miss it and CIPC can deregister the business.

Fix a problem

The issues people hit most, and what to do.

CIPC will not let me submit

Since 15 April 2024 CIPC blocks annual returns until your beneficial ownership information is filed and current. File the beneficial ownership declaration first, confirm it is on record, then try again.

My beneficial ownership filing was rejected

Common causes are shareholdings that do not add up to 100%, missing owners, or outdated supporting documents. Correct the details and file again.

I entered the wrong turnover

Filed returns cannot be edited. Ask CIPC for a correction (credit or debit note) through its enquiry system, with supporting documents.

My company is being deregistered

Two or more years of missed returns starts CIPC's deregistration process. Filing all outstanding returns (and beneficial ownership) while the process runs can stop it. If the business was already finally deregistered, it must be reinstated first.

I never got a warning from CIPC

CIPC uses the contact details on record. Update your registered email and phone number, and check your status on BizPortal or eServices.

  • Close corporations: file from the start of the anniversary month to the end of the following month
  • Companies must also submit CIPC's annual compliance checklist, which is free

What comes next

  • Update beneficial ownership whenever owners change
  • Keep your COIDA letter of good standing current if you employ staff
  • SARS company tax returns are a separate obligation
