How to file beneficial ownership with CIPC

Short answer

Every company and close corporation (co-operatives excluded) must file its beneficial owners with CIPC on eServices. A beneficial owner is a natural person who ultimately owns or controls the company, with 5% or more shown. File within 10 business days of registration and of any change, and update it with each annual return.

CIPC will not accept your annual return until your beneficial ownership (BO) is on record, so a missing or wrong BO filing stops the whole annual return. This guide covers who counts as a beneficial owner, what to prepare and how to fix the usual blocks.

Who needs it

  • All companies and close corporations registered with CIPC, except co-operatives. This includes private companies, non-profit companies, external companies and CCs
  • A beneficial owner is a natural person who directly or indirectly ultimately owns the company or exercises effective control of it. That covers shares, voting rights, the power to appoint or remove directors and control through a chain of companies or trusts
  • Companies with no beneficial owner to declare still file, in a separate category. Public companies, state-owned companies and certain private companies are "affected companies" and file a beneficial interest register instead of owner details
  • Entities in liquidation, dissolution, suspension or voluntary or final deregistration cannot file

Before you start

Tick these off as you gather them.

Step by step

  1. Work out who your beneficial owners are. List every natural person with 5% or more ownership or control, directly or through other companies and trusts. Your declared interests should add up to 100%.

  2. Get the mandate signed by 50% plus one of the directors (or all CC members) on company letterhead, and have the filer's ID copy certified.

  3. Log in at eservices.cipc.co.za with your customer code and password. Choose Transact, then Beneficial Ownership, and accept the declaration.

  4. Start a new filing, select the company from your linked entities (or search for it) and confirm the enterprise details shown.

  5. Upload the mandate and pick the correct company type: a non-affected company with beneficial owners, a non-affected company with no beneficial owner to declare, or an affected company.

  6. Capture each beneficial owner's details and type of ownership or control, and upload the supporting documents CIPC asks for, including the securities register.

  7. Check the total declared ownership, then submit.

  8. Confirm the filer with the one-time PINs sent by SMS and email, then finish. Companies with owners to declare receive a confirmation certificate. Affected companies and companies with no beneficial owner receive only a notice that the documents were submitted.

  9. Keep the confirmation, then file your annual return. If CIPC's reviewers send an email asking for corrections, amend and resubmit.

Fix a problem

The issues people hit most, and what to do. Each one has its own link you can share.

CIPC will not let me submit my annual return because beneficial ownership is missing

Annual returns are blocked until your BO filing is on record. Since 2024 CIPC applies this on its electronic platforms for companies and CCs. File the BO declaration first and wait until it shows as completed, then file the annual return. CIPC does not waive late-filing penalties caused by the delay, so file as soon as you can.

One of my shareholders is another company

A beneficial owner must be a natural person, so you cannot declare the company. Trace the ownership through each layer to the individuals who ultimately own or control it, and declare those people with their percentage. For layered structures, CIPC provides a disclosure form with an organogram.

A trust owns shares in my company

Trusts are registered with the Master of the High Court, not CIPC. In your filing, declare the trust's natural persons: the trustees (control) and the beneficiaries (ownership), each with their details.

I cannot find any beneficial owner, or nobody holds 5%

Do not leave the filing blank. If nobody has 5% or more ownership or control, file in the category for a non-affected company with no beneficial owner to declare and upload the filer's certified ID, the mandate and the securities register. CIPC has said it asks you to consider other control, such as board control, so make sure no one controls the company without holding shares.

Ownership changed after I filed

File an amendment within 10 business days of the change. You cannot delete a declaration. The original stays on record as history. An owner who drops below 5% is made inactive through an amendment.

I made a mistake or CIPC asked me to correct my filing

Use the amend and resubmit option on the BO system rather than starting again. Check names and ID numbers against the owner's ID, make sure percentages add up and that documents are certified and current. Supplying false or misleading information is an offence, so correct errors promptly. For technical problems, email [email protected].

A foreign owner's details will not verify

South African ID numbers are checked against Home Affairs, so a typing error fails. For foreign nationals, upload a certified copy of the passport or foreign ID. CIPC also links BO to its Foreigner Assurance service on eServices for foreign directors and owners.

What it costs

ItemWhat you pay
Filing a beneficial ownership declaration yourselfCIPC's step-by-step guides show no filing fee. Where a payment applies it is by card only
Late annual return penalty caused by a blocked filingPaid to CIPC and not waived. See the fee table in the annual returns guide
Using an agent or accountantTheir own service fee, on top of any CIPC cost

CIPC does not publish fixed fines for missing BO on its guidance pages. It says non-compliance can lead to an investigation, a compliance notice, late-filing penalty fees, referral for deregistration, and for false information referral for criminal prosecution.

How long it takes

The online filing takes one session once your documents are ready. CIPC reviewers check submissions, and CIPC has published notices about processing delays, so allow extra days before an annual return deadline. CIPC does not publish a fixed turnaround time.

When it expires

  • Declarations must be updated at least once a year, even if nothing changed. CIPC ties this to the annual return
  • New companies file within 10 business days of incorporation
  • Changes must be filed as an amendment within 10 business days
  • Annual return, BO declaration and registers are due within 30 business days after the anniversary of incorporation
